Form Description Filed By Filing Fee
Resignation of Resident Agent (CSCL/CD 521) Resigns as resident agent for a corporation, limited partnership, or limited liability company after written notice is given to the entity. Resident agent No fee for corporations and limited partnerships; $5 for limited liability companies

The written notice must be given to the president or vice president of a corporation, a general partner of a limited partnership, or a member or manager of a limited liability company.

LLC: $50 plus $25 for each delinquent annual statement; PLLC: $50 plus $125 for each prior-year annual report and statement, with the current-year filing charged at $75 on or before February 15 and $125 after February 15

FAQ

Where can I find all current Michigan Secretary of State business forms?

Michigan business entity filings are handled by LARA rather than the Secretary of State. Current forms are posted on the Corporations Division forms page.

Online filings are handled through CorpFile Online. Current filing charges are listed in the Filing Fees schedule.

Is the registered agent consent form required to be filed with the Michigan Secretary of State?

No separate resident-agent consent form is listed in the current Michigan business forms set. The resident agent is named inside the formation, qualification, or change document for the entity.

Michigan uses the term resident agent on these forms. If the named resident agent no longer wishes to serve, the resident agent files the Resignation of Resident Agent (CSCL/CD 521).

What form is used to change a registered agent in Michigan?

Corporations and limited liability companies use the Certificate of Change of Registered Office and/or Change of Resident Agent (CSCL/CD 520). The filing fee is $5.

Foreign limited partnerships use the Certificate of Change (CSCL/CD 412). The filing fee is $10.

Filing methods are the same as described above: online through CorpFile Online, by mail, or in person. Business filing assistance is available at 517-241-6470 and corpsmail@michigan.gov.

What is the difference between the entity-filed change form and the agent-filed change form in Michigan?

Michigan does not publish a separate resident-agent own-name or own-address change form in the current business entity form set. The public record is updated through the entity-filed change document for the entity type.

For corporations and limited liability companies, that filing is the Certificate of Change of Registered Office and/or Change of Resident Agent. For foreign limited partnerships, that filing is the Certificate of Change.

A resident agent that is stepping down does not use a separate own-address update filing. The resident agent files the Resignation of Resident Agent instead.

Is there a fee to form a nonprofit corporation in Michigan?

Yes. The filing fee for the Articles of Incorporation (CSCL/CD 502) is $20.

That amount is lower than the minimum domestic nonprofit corporation filing cost, which starts with a $10 nonrefundable fee plus a $50 organization fee for 1-60,000 authorized shares, and lower than the $50 filing fee for a domestic LLC. The current schedule is listed in the Filing Fees document.

What forms are used to register an out-of-state LLC in Michigan?

An out-of-state LLC files the Application for Certificate of Authority to Transact Business in Michigan (CSCL/CD 760). The filing fee is $50.

The application requires a Michigan resident agent and registered office. It also requires a certificate of good standing from the home jurisdiction dated no earlier than 30 days before receipt by the Michigan office.

What forms are used to form or register a partnership in Michigan?

A domestic limited partnership files the Certificate of Limited Partnership (CSCL/CD 401), and a foreign limited partnership files the Application for Registration to Transact Business in Michigan (CSCL/CD 411). Each filing costs $10, and each requires a Michigan service-of-process agent and service address.

A limited liability partnership files the Application to Register a Limited Liability Partnership (CSCL/CD 800). The filing fee is $100, and this filing registers LLP status for a partnership rather than creating a limited partnership.

Foreign LLP applicants complete the Michigan registered agent and registered office fields in the same LLP filing. The current Michigan forms pages do not list a separate LLLP formation or registration filing.

Can I file Michigan SOS forms online?

Yes. Michigan business entity filings are submitted online through CorpFile Online.

The online system supports formation filings, foreign qualification filings, change filings, resignations, renewals, and restoration filings when those filings are offered in the portal. Existing-entity filings may require the state’s entity access credentials.

Michigan also publishes optional expedited service fees for eligible business filings. The expedited charges are $50 for 24-hour review of formation documents and applications for certificate of authority, $100 for 24-hour review of documents concerning existing entities, $100 for same-day review of formation documents and applications for certificate of authority, $200 for same-day review of documents concerning existing entities, $500 for two-hour review, and $1,000 for one-hour review.
